Hsin\u00adchu, Tai\u00adwan, R.O.C., Feb. 11, 2020 \u2013 <\/b>TSMC<\/span> (TWSE<\/span>: 2330, NYSE<\/span>: TSM<\/span>) today held a mee\u00adting of the Board of Direc\u00adtors, which pas\u00adsed the fol\u00adlo\u00adwing resolutions:<\/p>\n

1. Appro\u00adved the 2019 Busi\u00adness Report and Finan\u00adcial State\u00adments. Con\u00adso\u00adli\u00adda\u00adted reve\u00adnue tota\u00adled NT<\/span>$1,069.99 bil\u00adli\u00adon and net inco\u00adme was NT<\/span>$345.26 bil\u00adli\u00adon, with diluted ear\u00adnings per share of NT<\/span>$13.32.<\/p>\n

2. Appro\u00adved the dis\u00adtri\u00adbu\u00adti\u00adon of a NT<\/span>$2.5 per share cash divi\u00addend for the fourth quar\u00adter of 2019, and set June 24, 2020 as the record date for com\u00admon stock share\u00adhol\u00adders entit\u00adled to par\u00adti\u00adci\u00adpa\u00adte in this cash divi\u00addend dis\u00adtri\u00adbu\u00adti\u00adon, and the ex-divi\u00addend date for the com\u00admon shares shall be June 18, 2020. As requi\u00adred by Artic\u00adle 165 of Taiwan\u2019s Com\u00adpa\u00adny Law, the share\u00adhol\u00adders\u2019 regis\u00adter shall be clo\u00adsed for five days pri\u00ador to the record date (June 20 through June 24, 2020) for regis\u00adtra\u00adti\u00adon trans\u00adfer, and the divi\u00addend will be paid on July 16, 2020. In addi\u00adti\u00adon, the ex-divi\u00addend date for TSMC<\/span> Ame\u00adri\u00adcan Depo\u00adsi\u00adta\u00adry Shares (ADSs) will be June 18, 2020. The record date for TSMC<\/span> ADSs entit\u00adled to par\u00adti\u00adci\u00adpa\u00adte in this cash divi\u00addend dis\u00adtri\u00adbu\u00adti\u00adon will be June 19, 2020.<\/p>\n

3. Appro\u00adved dis\u00adtri\u00adbu\u00adti\u00adon of employees\u2019 cash bonus and pro\u00adfit sha\u00adring bonus tota\u00adling appro\u00adxi\u00adm\u00adate\u00adly NT<\/span>$46,331.50 mil\u00adli\u00adon for 2019. This includes cash bonus of NT<\/span>$23,165.75 mil\u00adli\u00adon dis\u00adtri\u00adbu\u00adted fol\u00adlo\u00adwing each quar\u00adter of 2019 and pro\u00adfit sha\u00adring bonus of NT<\/span>$23,165.75 mil\u00adli\u00adon to be dis\u00adtri\u00adbu\u00adted in July 2020.<\/p>\n

4. Appro\u00adved capi\u00adtal appro\u00adpria\u00adti\u00adons of appro\u00adxi\u00adm\u00adate\u00adly US<\/span>$6,742.1 mil\u00adli\u00adon (appro\u00adxi\u00adm\u00adate\u00adly NT<\/span>$200.9 bil\u00adli\u00adon) for pur\u00adpo\u00adses inclu\u00adding: 1) Fab con\u00ads\u00adtruc\u00adtion, and instal\u00adla\u00adti\u00adon of fab faci\u00adli\u00adty sys\u00adtems; 2) Instal\u00adla\u00adti\u00adon and upgrade of advan\u00adced tech\u00adno\u00adlo\u00adgy capa\u00adci\u00adty; 3) Instal\u00adla\u00adti\u00adon of spe\u00adcial\u00adty tech\u00adno\u00adlo\u00adgy capa\u00adci\u00adty; 4) Instal\u00adla\u00adti\u00adon of advan\u00adced pack\u00ada\u00adging capa\u00adci\u00adty; 5) Second quar\u00adter 2020 R&<\/span>D capi\u00adtal invest\u00adments and sus\u00adtai\u00adning capi\u00adtal expenditures.<\/p>\n

5. Appro\u00adved the issu\u00adan\u00adce of no more than NT<\/span>$60 bil\u00adli\u00adon (appro\u00adxi\u00adm\u00adate\u00adly US<\/span>$2.01 bil\u00adli\u00adon) in unse\u00adcu\u00adred cor\u00adpo\u00adra\u00adte bonds in Tai\u00adwan to finan\u00adce TSMC<\/span>\u2019s capa\u00adci\u00adty expan\u00adsi\u00adon and\/or pol\u00adlu\u00adti\u00adon pre\u00adven\u00adti\u00adon rela\u00adted expenditures.<\/p>\n

6. Appro\u00adved the con\u00advening of the 2020 AGM<\/span> for 9:00 a.m. on June 9, 2020 at TSMC<\/span>\u2019s Head\u00adquar\u00adters (No. 8, Li-Hsin Rd. 6, Hsin\u00adchu Sci\u00adence Park, Hsin\u00adchu, Tai\u00adwan), at which share\u00adhol\u00adders will hold an elec\u00adtion for one addi\u00adtio\u00adnal inde\u00adpen\u00addent direc\u00adtor. The Board of Direc\u00adtors also appro\u00adved the nomi\u00adna\u00adti\u00adon of Mr. Yan\u00adcey Hai as a can\u00addi\u00adda\u00adte for inde\u00adpen\u00addent direc\u00adtor, and appro\u00adved the appoint\u00adment of Mr. Hai as a mem\u00adber of the TSMC<\/span> Com\u00adpen\u00adsa\u00adti\u00adon Com\u00admit\u00adtee, effec\u00adti\u00adve Febru\u00adary 11, 2020.
