1. Appro\u00adved the dis\u00adtri\u00adbu\u00adti\u00adon of a NT<\/span>$2.5 per share cash divi\u00addend for the second quar\u00adter of 2020, and set Decem\u00adber 23, 2020 as the record date for com\u00admon stock share\u00adhol\u00adders entit\u00adled to par\u00adti\u00adci\u00adpa\u00adte in this cash divi\u00addend dis\u00adtri\u00adbu\u00adti\u00adon, and the ex-divi\u00addend date for the com\u00admon shares shall be Decem\u00adber 17, 2020. As requi\u00adred by Artic\u00adle 165 of Taiwan\u2019s Com\u00adpa\u00adny Law, the share\u00adhol\u00adders\u2019 regis\u00adter shall be clo\u00adsed for five days pri\u00ador to the record date (Decem\u00adber 19 through Decem\u00adber 23, 2020) for regis\u00adtra\u00adti\u00adon trans\u00adfer, and the divi\u00addend will be paid on Janu\u00adary 14, 2021. In addi\u00adti\u00adon, the ex-divi\u00addend date for TSMC<\/span> Ame\u00adri\u00adcan Depo\u00adsi\u00adta\u00adry Shares (ADSs) will be Decem\u00adber 17, 2020. The record date for TSMC<\/span> ADSs entit\u00adled to par\u00adti\u00adci\u00adpa\u00adte in this cash divi\u00addend dis\u00adtri\u00adbu\u00adti\u00adon will be Decem\u00adber 18, 2020.<\/p>\n

2. Appro\u00adved capi\u00adtal appro\u00adpria\u00adti\u00adons of appro\u00adxi\u00adm\u00adate\u00adly US<\/span>$5,271.6 mil\u00adli\u00adon (appro\u00adxi\u00adm\u00adate\u00adly NT<\/span>$152.9 bil\u00adli\u00adon) for pur\u00adpo\u00adses inclu\u00adding: 1) Instal\u00adla\u00adti\u00adon and expan\u00adsi\u00adon of advan\u00adced tech\u00adno\u00adlo\u00adgy capa\u00adci\u00adty; 2) Instal\u00adla\u00adti\u00adon of spe\u00adcial\u00adty tech\u00adno\u00adlo\u00adgy capa\u00adci\u00adty; 3) Instal\u00adla\u00adti\u00adon of advan\u00adced pack\u00ada\u00adging capa\u00adci\u00adty; 4) Fab con\u00ads\u00adtruc\u00adtion, instal\u00adla\u00adti\u00adon of fab faci\u00adli\u00adty sys\u00adtems, and capi\u00adta\u00adli\u00adzed lea\u00adsed assets; 5) Fourth quar\u00adter 2020 R&<\/span>D capi\u00adtal invest\u00adments and sus\u00adtai\u00adning capi\u00adtal expenditures.<\/p>\n

Appro\u00adved the issu\u00adan\u00adce of US<\/span> dol\u00adlar-deno\u00admi\u00adna\u00adted unse\u00adcu\u00adred cor\u00adpo\u00adra\u00adte bonds for an amount not to exceed US<\/span>$1 bil\u00adli\u00adon, and appro\u00adved the pro\u00advi\u00adsi\u00adon of a gua\u00adran\u00adtee to TSMC<\/span> Glo\u00adbal, a whol\u00adly-owned for\u00adeign sub\u00adsi\u00addia\u00adry of TSMC<\/span>, for its issu\u00adan\u00adce of US<\/span> dol\u00adlar-deno\u00admi\u00adna\u00adted seni\u00ador unse\u00adcu\u00adred cor\u00adpo\u00adra\u00adte bonds for an amount not to exceed US<\/span>$3 bil\u00adli\u00adon, to finan\u00adce TSMC<\/span>\u2019s capa\u00adci\u00adty expansion.<\/p>\n
