(\u201cSBG<\/span>\u201d or \u201cSoft\u00adBank\u201d) today announ\u00adced the ter\u00admi\u00adna\u00adti\u00adon of the pre\u00advious\u00adly announ\u00adced tran\u00adsac\u00adtion wher\u00adeby NVIDIA<\/span> would acqui\u00adre Arm Limi\u00adt\u00aded (\u201cArm\u201d) from SBG<\/span>. The par\u00adties agreed to ter\u00admi\u00adna\u00adte the Agree\u00adment becau\u00adse of signi\u00adfi\u00adcant regu\u00adla\u00adto\u00adry chal\u00adlenges pre\u00adven\u00adting the con\u00adsum\u00adma\u00adti\u00adon of the tran\u00adsac\u00adtion, despi\u00adte good faith efforts by the par\u00adties. Arm will now start pre\u00adpa\u00adra\u00adti\u00adons for a public offering. <\/p>\n

SBG<\/span> today also announ\u00adced that, in coor\u00addi\u00adna\u00adti\u00adon with Arm, it will start pre\u00adpa\u00adra\u00adti\u00adons for a public offe\u00adring of Arm within the fis\u00adcal year ending March 31, 2023. SBG<\/span> belie\u00adves Arm\u2019s tech\u00adno\u00adlo\u00adgy and intellec\u00adtu\u00adal pro\u00adper\u00adty will con\u00adti\u00adnue to be at the cen\u00adter of mobi\u00adle com\u00adpu\u00adting and the deve\u00adlo\u00adp\u00adment of arti\u00adfi\u00adci\u00adal intelligence.<\/p>\n

NVIDIA<\/span> and SBG<\/span> had announ\u00adced that they had ente\u00adred into a defi\u00adni\u00adti\u00adve agree\u00adment, under which NVIDIA<\/span> would acqui\u00adre Arm from Soft\u00adBank, on Sep\u00adtem\u00adber 13, 2020. In accordance with the terms of the agree\u00adment, SBG<\/span>* will retain the $1.25 bil\u00adli\u00adon pre\u00adpaid by NVIDIA<\/span>, which will be recor\u00added as pro\u00adfit in the fourth quar\u00adter, and NVIDIA<\/span> will retain its 20-year Arm license.<\/p>\n
