SUNNYVALE<\/span>, CA<\/span> \u2014 02\/20\/14<\/span> \u2013<\/strong> Advan\u00adced Micro Devices, Inc. (NYSE<\/span>: AMD<\/span>) today announ\u00adced that it com\u00admen\u00adced a cash ten\u00adder offer for up to $425,000,000 in aggre\u00adga\u00adte prin\u00adci\u00adpal amount of its out\u00adstan\u00adding 6.00% Con\u00adver\u00adti\u00adble Seni\u00ador Notes due 2015 (the \u201cNotes\u201d). AMD<\/span> intends to finan\u00adce the purcha\u00adse of the Notes ten\u00adde\u00adred in the ten\u00adder offer with the net pro\u00adceeds from the clo\u00adsing of AMD<\/span>\u2019s pri\u00adva\u00adte offe\u00adring of $500 mil\u00adli\u00adon of seni\u00ador notes due 2019 (the \u201cNew Notes Offe\u00adring\u201d), which was sepa\u00adra\u00adte\u00adly announ\u00adced by AMD<\/span> today.<\/p>\n

The ten\u00adder offer will expi\u00adre at 12:00 mid\u00adnight, New York City time, on March 19, 2014, unless exten\u00added (such date and time, as it may be exten\u00added, the \u201cExpi\u00adra\u00adti\u00adon Date\u201d) or ear\u00adlier ter\u00admi\u00adna\u00adted by AMD<\/span>. Hol\u00adders who valid\u00adly ten\u00adder, and do not valid\u00adly with\u00addraw, their Notes on or pri\u00ador to the Expi\u00adra\u00adti\u00adon Date will be entit\u00adled to recei\u00adve $1,065 for each $1,000 prin\u00adci\u00adpal amount of Notes purcha\u00adsed in the ten\u00adder offer, plus accrued and unpaid inte\u00adrest to, but not inclu\u00adding, the date of pay\u00adment for the Notes accept\u00aded for pay\u00adment. Ten\u00adders of Notes must be made on or pri\u00ador to the Expi\u00adra\u00adti\u00adon Date, and Notes may be with\u00addrawn at any time on or pri\u00ador to the Expi\u00adra\u00adti\u00adon Date.<\/p>\n

To the ext\u00adent that accep\u00adtances of all valid\u00adly ten\u00adde\u00adred Notes would requi\u00adre AMD<\/span> to purcha\u00adse more than $425,000,000 in aggre\u00adga\u00adte prin\u00adci\u00adpal amount of Notes in con\u00adnec\u00adtion with the ten\u00adder offer, AMD<\/span> will allo\u00adca\u00adte accep\u00adtances on a pro rata basis among the ten\u00adde\u00adring holders.<\/p>\n

The ten\u00adder offer is con\u00adtin\u00adgent upon the satis\u00adfac\u00adtion of cer\u00adtain con\u00addi\u00adti\u00adons, inclu\u00adding the clo\u00adsing of the New Notes Offe\u00adring, which will be sub\u00adject to cus\u00adto\u00adma\u00adry clo\u00adsing conditions.<\/p>\n
