SUNNYVALE<\/span>, CA<\/span> \u2014 02\/20\/14<\/span> \u2013<\/strong> AMD<\/span><\/a> (NYSE<\/span>: AMD<\/span>) today announ\u00adced that it has agreed to sell $600 mil\u00adli\u00adon aggre\u00adga\u00adte prin\u00adci\u00adpal amount of its 6.75% Seni\u00ador Notes due 2019 in a pri\u00adva\u00adte offe\u00adring. AMD<\/span> intends to clo\u00adse the tran\u00adsac\u00adtion on or around Febru\u00adary 26, 2014.<\/p>\n

AMD<\/span> esti\u00adma\u00adtes that the net pro\u00adceeds from the issu\u00adan\u00adce and sale of the seni\u00ador notes will be appro\u00adxi\u00adm\u00adate\u00adly $590 mil\u00adli\u00adon after deduc\u00adting the initi\u00adal purcha\u00adsers\u2019 dis\u00adcounts and esti\u00adma\u00adted offe\u00adring expen\u00adses. AMD<\/span> intends to use the net pro\u00adceeds to repurcha\u00adse up to $425 mil\u00adli\u00adon aggre\u00adga\u00adte prin\u00adci\u00adpal amount of its out\u00adstan\u00adding 6.00% Con\u00adver\u00adti\u00adble Seni\u00ador Notes due 2015 through a ten\u00adder offer which was laun\u00adched on Febru\u00adary 20, 2014. Remai\u00adning net pro\u00adceeds will be used to repurcha\u00adse up to a maxi\u00admum of $200 mil\u00adli\u00adon aggre\u00adga\u00adte prin\u00adci\u00adpal amount of its out\u00adstan\u00adding 8.125% Seni\u00ador Notes due 2017 through a ten\u00adder offer which was also laun\u00adched on Febru\u00adary 20, 2014. AMD<\/span> will use any net pro\u00adceeds not used in the ten\u00adder offers to rede\u00adem, repurcha\u00adse or other\u00adwi\u00adse reti\u00adre other out\u00adstan\u00adding debt.<\/p>\n

The new seni\u00ador notes have not been regis\u00adtered under the Secu\u00adri\u00adties Act of 1933, as amen\u00added, or appli\u00adca\u00adble sta\u00adte secu\u00adri\u00adties laws, and will be offe\u00adred only to qua\u00adli\u00adfied insti\u00adtu\u00adtio\u00adnal buy\u00aders in reli\u00adance on Rule 144A<\/span> and in off\u00adshore tran\u00adsac\u00adtions pur\u00adsu\u00adant to Regu\u00adla\u00adti\u00adon S under the Secu\u00adri\u00adties Act. Unless so regis\u00adtered, the new seni\u00ador notes may not be offe\u00adred or sold in the United Sta\u00adtes except pur\u00adsu\u00adant to an exemp\u00adti\u00adon from the regis\u00adtra\u00adti\u00adon requi\u00adre\u00adments of the Secu\u00adri\u00adties Act and appli\u00adca\u00adble sta\u00adte secu\u00adri\u00adties laws.<\/p>\n
