(NYSE<\/span>: AMD<\/span>) announ\u00adced today that it has com\u00adple\u00adted its offer to purcha\u00adse for cash an aggre\u00adga\u00adte prin\u00adci\u00adpal amount of its out\u00adstan\u00adding 8.125% Seni\u00ador Notes due 2017 (the \u201cNotes\u201d), at a purcha\u00adse pri\u00adce equal to $1,014.83 per $1,000 of the prin\u00adci\u00adpal amount of such Notes, plus accrued and unpaid inte\u00adrest the\u00adre\u00adon. Hol\u00adders of the Notes who valid\u00adly ten\u00adde\u00adred, and did not valid\u00adly with\u00addraw, their Notes at or pri\u00ador to 5:00 p.m. New York City time on March 5, 2014 (the \u201cEar\u00adly Ten\u00adder Time\u201d) recei\u00adved an addi\u00adtio\u00adnal $30.00 for each $1,000 prin\u00adci\u00adpal amount of Notes purcha\u00adsed pur\u00adsu\u00adant to the ten\u00adder offer, resul\u00adting in a total con\u00adside\u00adra\u00adti\u00adon of $1,044.83 for each $1,000 prin\u00adci\u00adpal amount of Notes.<\/p>\n

Pur\u00adsu\u00adant to the offer, $51,065,000 aggre\u00adga\u00adte prin\u00adci\u00adpal amount of the Notes were valid\u00adly ten\u00adde\u00adred and not with\u00addrawn (inclu\u00adding $49,434,000 aggre\u00adga\u00adte prin\u00adci\u00adpal amount of the Notes which were valid\u00adly ten\u00adde\u00adred on or pri\u00ador to the Ear\u00adly Ten\u00adder Time) and AMD<\/span> accept\u00aded for pay\u00adment $47,556,000 aggre\u00adga\u00adte prin\u00adci\u00adpal amount of such Notes (inclu\u00adding $46,043,000 aggre\u00adga\u00adte prin\u00adci\u00adpal amount of the Notes which were valid\u00adly ten\u00adde\u00adred on or pri\u00ador to the Ear\u00adly Ten\u00adder Time). Pay\u00adment of the aggre\u00adga\u00adte con\u00adside\u00adra\u00adti\u00adon of appro\u00adxi\u00adm\u00adate\u00adly $50,662,000 (inclu\u00adding accrued and unpaid inte\u00adrest) will be made on the valid\u00adly ten\u00adde\u00adred Notes in accordance with the terms of the ten\u00adder offer. After giving effect to the purcha\u00adse of the ten\u00adde\u00adred Notes, $452,444,000 aggre\u00adga\u00adte prin\u00adci\u00adpal amount of the Notes remains outstanding.<\/p>\n
