Mit der Ausgabe neuer Aktien will AMD neue finanzielle Mittel schöpfen und gleichzeitig seine Schulden tilgen. Zuletzt hat der Aktienkurs von AMD eine rasante Anstieg nach oben zu Tage gelegt, so dass man nun offenbar die günstige Gelegenheit ergreifen will.
Insgesamt plant AMD 14 Millionen neue Anteilsscheine zu einem Preis von je 35,20 US-Dollar auszugeben, aus deren Einnahme rund 226 Millionen US-Dollar austehende Anleihen zurückgekauft werden sollen, die sonst noch bis zum Jahr 2012 laufen würden. Hier die offizielle Pressemitteilung:
AMD today announced that it is offering 14,096,000 shares of its common stock at $35.20 per share. The offering is scheduled to close on Friday, January 27, 2006 and is subject to the satisfaction of customary closing conditions. AMD has granted the underwriter a 30-day option to purchase an additional 2,114,400 shares of common stock to cover overallotments, if any.
Merrill Lynch & Co. is the sole underwriter for this offering.
AMD intends to use approximately $226 million of the net proceeds from this offering to fund the redemption of up to 35% of the aggregate principal amount of its 7.75% Senior Notes due 2012 and the balance of the net proceeds for capital expenditures, working capital and other general corporate purposes, including the possible repayment of indebtedness.
The public offering of AMD’s common stock is being made only by means of a prospectus. Die Schuldenredizierung bei AMD ist mittlerweile so weit fortgeschritten, dass bereits die ersten Kreditratings von AMD angehoben werden. Gleichzeitig hat es AMD geschafft seinen Cashbestand im Laufe des letzten Quartals auf 1,8 Milliarden US-Dollar anzuheben. Mit den restlichen Einnahmen aus der Aktienausgabe und den zu erwartenden Gewinnen der kommenden Quartale dürfte es nur eine Frage der Zeit sein, wann die bereits kolportierte dritte FAB Realität werden wird.
